End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and Deuslink Software LLC ("Company", "we", "us") for the use of UpBuilder ("Application", "App", "Software").

By using UpBuilder, you agree to be bound by this EULA. If you do not agree to these terms, do not use the Application.

1. License Grant

We grant you a revocable, non-exclusive, non-transferable, limited license to access and use the Application strictly in accordance with this Agreement and your subscription plan.

1.1 License Scope

This license permits you to:

Access and use the UpBuilder web application
Connect your Figma account to import design files
Convert Figma designs to code using our AI-powered service
Connect your Webflow account to export generated code
Download and use generated code in your projects
Use the service for personal or commercial purposes

1.2 License Limitations

This license does NOT permit you to:

Sublicense, sell, rent, or lease access to the Application
Use the Application on behalf of third parties not covered by your account
Exceed the usage limits of your subscription plan
Share account credentials with unauthorized users

2. Intellectual Property

2.1 The Application

The software, code, algorithms, AI models, design, user interface, and all associated materials of UpBuilder are owned by Deuslink Software LLC and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

2.2 Your Input

You retain ownership of the design files you upload or connect ("Input"), provided you have the legal right to such content.

2.3 AI-Generated Output

Subject to the limitations in Section 2.4, you own the code generated by the Service ("Output") from your Input. You may use Output for personal or commercial purposes without attribution to UpBuilder.

2.4 AI Output Limitations

You acknowledge and agree that:

a) Originality Not Guaranteed:

AI-generated Output may not be unique or original
Other users may receive similar or identical Output
Output may resemble publicly available code

b) Copyright Status Uncertain:

AI-generated content may not qualify for copyright protection under applicable law
We make no representations regarding the copyrightability of Output

c) Third-Party Rights:

Output may incorporate patterns subject to third-party licenses
You are responsible for reviewing Output for potential license obligations
You assume all risk related to third-party intellectual property claims

2.5 Trademarks

The UpBuilder name, logo, and related trademarks are the exclusive property of Deuslink Software LLC. You may not use our trademarks without prior written consent, except for fair use to describe our service.

3. Restrictions

You agree not to, and you will not permit others to:

3.1 Technical Restrictions

Reverse Engineer: Decompile, disassemble, or attempt to derive the source code, algorithms, or AI models of the Application
Modify: Create derivative works based on the Application
Copy: Duplicate the Application, its functionality, or AI capabilities
Extract: Attempt to extract, copy, or recreate our AI models or training data

3.2 Commercial Restrictions

Distribute: License, sell, rent, lease, or transfer the Application
Timesharing: Use the Application for commercial timesharing without permission
Compete: Use the Application to develop a competing service

3.3 Other Restrictions

Remove Notices: Alter or obscure any proprietary notices on the Application
Automated Access: Use automated means to access the service beyond normal usage or API limits
Circumvent: Bypass, disable, or circumvent any security or access controls
Misrepresent: Claim that Output is entirely human-created when disclosure of AI involvement is required

4. AI-Specific Terms

4.1 AI Disclosure

UpBuilder uses artificial intelligence powered by third-party AI services (including OpenAI) to analyze designs and generate code. By using the Application, you consent to this AI processing.

4.2 AI Limitations

You acknowledge that AI technology:

May produce errors, inaccuracies, or unexpected results
Has inherent limitations in understanding context and intent
May generate code that requires human review and modification
Is continuously evolving and may change over time

4.3 Human Oversight

You agree to maintain human oversight of all AI-generated Output, including:

Reviewing code before deployment
Testing code for functionality and security
Validating code against your requirements
Taking responsibility for final implementation decisions

4.4 No Reliance for Critical Applications

You agree NOT to rely solely on AI-generated code for:

Safety-critical systems
Medical or healthcare applications
Financial or trading systems
Applications where errors could cause personal injury
Applications requiring regulatory compliance without expert review

5. Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") provided by you shall become the sole and exclusive property of Deuslink Software LLC.

We may use, copy, modify, publish, or redistribute your Suggestions for any purpose without credit or compensation to you.

6. Modifications to the Application

Deuslink Software LLC reserves the right to:

Modify, suspend, or discontinue the Application at any time
Release updates, patches, or new versions
Change features, functionality, or AI capabilities
Modify rate limits, usage quotas, or service tiers

Such changes may occur with or without notice and without liability to you. Updates may be required for continued use of the service.

7. Third-Party Services

7.1 Required Integrations

The Application requires integration with third-party services:

Figma: For design file access
Webflow: For code export (optional)
OpenAI: For AI processing

7.2 Third-Party Terms

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services.

7.3 Platform Independence

UpBuilder is independent of and not affiliated with Figma, Inc. or Webflow, Inc.

UpBuilder does not seek to compete with or replace these platforms. We are a complementary workflow tool that enhances the design-to-development process for designers, developers, and agencies who build with Webflow.

8. Term and Termination

8.1 Duration

This Agreement remains in effect until terminated by you or Deuslink Software LLC.

8.2 Termination by You

You may terminate this Agreement at any time by discontinuing use of the Application and closing your account.

8.3 Termination by Us

We may terminate this Agreement immediately, without prior notice, if you:

Fail to comply with any term of this Agreement
Violate our Acceptable Use Policy
Engage in fraudulent or illegal activity
Fail to pay subscription fees when due

8.4 Effects of Termination

Upon termination:

Your right to use the Application will cease immediately
Your license to use any downloaded Output remains in effect
You must stop all use of the Application
We may delete your account data per our Privacy Policy
Provisions that by nature should survive termination will remain in effect

9. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE SPECIFICALLY DISCLAIM ALL WARRANTIES REGARDING:

Merchantability or fitness for a particular purpose
Non-infringement of third-party rights
Uninterrupted or error-free operation
Accuracy, reliability, or quality of AI-generated output
Security or freedom from vulnerabilities
Compatibility with your systems or requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEUSLINK SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Errors, bugs, or security vulnerabilities in generated code
Third-party intellectual property claims related to Output
Service interruptions or data loss

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Deuslink Software LLC from any claims arising from:

Your use of the Application
Your use of AI-generated Output
Your violation of this Agreement
Your violation of third-party rights
Claims that your Input infringes intellectual property rights

12. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be modified to accomplish its objectives to the greatest extent possible, and the remaining provisions will continue in full force and effect.

13. Entire Agreement

This Agreement, together with our Terms and Conditions, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Deuslink Software LLC regarding your use of the Application.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
